1. Acceptance of Terms

By accessing, purchasing, or using any of MRBR Studio’s services, including our Free Trial Edit, Monthly Credit Packages, or the 90-Day Monetization Program (“Services”), you (“Client” or “Creator”) agree to comply with and be legally bound by these Terms and Conditions.
If you disagree with any of these terms, kindly you must not access or use our Services.

2. Services Provided

MRBR Studio provides professional video editing and related digital production services, including but not limited to:

• YouTube video editing (long-form & shorts)

• Reels, Instagram, and TikTok video editing

• Wedding invitation & event highlight videos

• Educational, animation, and explainer videos

• Corporate promos, brand content, and social media ads

• Voiceover synchronization, thumbnail design, and caption creation

• AI-enhanced post-production and color grading

We also offer specialized programs:

• Free Trial Edit: One-time risk-free sample edit for new clients.

• Monthly Credits Plan: Flexible editing subscription using credits.

• 90-Day Monetization Program: Partnership model where editing and optimization are provided free until the channel is monetized.

All services are executed based on client specifications, timelines, and creative direction agreed upon during onboarding.

3. Pricing & Payment

3.1 General Pricing Model

• Prices are based on video length, complexity, motion graphics, and delivery urgency.

• Custom quotes are provided after reviewing project details.

• 1000 Credits = ₹16,989 (valid for 30 days; unused credits expire monthly).

• Pay-per-project pricing is also available for one-time orders.

3.2 Payment Terms

• 50% advance is required to begin any paid project. Remaining 50% must be cleared before final delivery.

• For Credit Packages, full payment upfront is required.

• For Partnership (90-Days monitization Program), payments are deferred until the channel is monetized.

3.3 Accepted Payment Methods

• Bank transfer, UPI, Razorpay, or Net Banking.

• All payments are in Indian Rupees (INR) unless otherwise agreed.

4. Refund & Satisfaction Policy

4.1 Free Trial Edit

• The Free Trial Edit is offered to new clients once only.

• If unsatisfied, you owe nothing for the trial project.

• If satisfied and the client proceeds, payment must be made before the next edit begins.

4.2 Refunds for Paid Projects

• Before work starts: Full refund available.

• After editing begins: Partial refund may be granted depending on work completed.

• After final delivery or two revisions: No refunds will be issued.

• Refunds are processed only if MRBR Studio fails to deliver or breaches agreed timelines without client delay.

4.3 Credits-Based Plans

• Credits are non-refundable once purchased.

• Expire 30 days from the date of purchase.

• If MRBR Studio fails to deliver due to internal reasons, equivalent credits will be reissued.

4.4 90-Day Monetization Program

• This program is entirely free until you monitize.

• Revenue sharing begins only after monetization or paid brand deals.

• If the creator exits before monetization, no payment is due.

• Once monetized, MRBR Studio retains its agreed share (e.g., 40%) for a mutually defined period.

• MRBR Studio reserves the full right to cancel or terminate this agreement at any time, before or during the programme, under the following conditions:

  • Lack of cooperation or support from the client

  • Consistently poor or unusable content quality

  • Submission of inappropriate, offensive, or non-compliant content

  • Content that lacks purpose, originality, or audience engagement potential

  • Failure to follow agreed timelines or communication standards

  • Any other behavior or actions that disrupt the workflow or compromise the programme’s integrity

  This policy ensures that we maintain the quality and effectiveness of the programme for all committed clients. 

5. Revision Policy

• Each standard project includes 2 free minor revisions (text change, color balance, transition adjustments, music sync).

• Major changes such as re-editing large portions, changing storyline, or adding new assets after approval will be billed separately.

• Revision requests must be made within 3 days of delivery.

• After 3 days or after 2 revisions, new changes will be treated as a fresh project or deducted from credits.

6. Delivery Timelines

• Standard Delivery: 3–7 working days.

• Animated or Long Projects: 10–15 working days.

• Urgent Delivery: Available at additional cost (express fee).

• Timelines start after all required materials are received.

• MRBR Studio is not responsible for delays caused by incomplete files or unclear client feedback.

7. Client Responsibilities

Clients are required to:

1. Provide all raw footage, logos, brand elements, and reference files on time.

2. Ensure submitted content is copyright-cleared and owned.

3. Communicate feedback within agreed timelines.

4. Respect agreed revision and payment policies.

MRBR Studio is not responsible for copyright strikes, takedowns, or penalties arising from client-provided content.

8. Ownership, Usage Rights & Confidentiality

1. Ownership of Final Deliverables
   Ownership of the final edited video(s) is fully transferred to the client upon completion of full payment. Until payment is received in full, all project materials remain the property of MRBR Studio.

2. Portfolio and Promotional Use
   MRBR Studio reserves the right to showcase completed projects (excluding confidential ones) for use in its portfolio, website, showreels, or promotional materials.

   • If the client prefers to keep a project confidential, we respect that choice and such projects will not be shared or referenced publicly in any form.

3. White-Label Editing Services
   All projects delivered by MRBR Studio are white-labeled, allowing clients to resell or present the work as their own without attribution.

   • For clients on monthly packages, all content is treated as fully confidential:

     • No project details will appear in our portfolio

     • Our involvement remains entirely anonymous

     • Your content remains secure, private, and exclusively yours

4. File Retention & Deletion
   All project files, raw footage, and backups are securely deleted 10 days after the final delivery, unless the client is on an active monthly plan or long-term package.

   • Extended storage is available for clients with ongoing service plans or by special arrangement.

9. 90-Day Monetization Program – Specific Terms

1. Eligibility:

   • Minimum of 4 existing videos on the YouTube channel.

   • Consistent upload commitment (minimum 5 videos/week).

   • Niche approval by MRBR Studio team.

2. Duration: 90 calendar days from onboarding date.

3. Services Covered:

   • Professional editing, optimization, thumbnail design, and upload support.

   • Channel audit, retention strategy, and performance tracking.

4. Revenue Share:

   • Applies only after monetization or when the channel earns revenue.

   • Default model: Creator 60% / MRBR Studio 40% (unless agreed otherwise).

   • AdSense, brand deals, or sponsorships arranged by MRBR are included in revenue-share.

   • Creator retains 100% of independently sourced deals.

5. Termination: Either party may end the program at any time before monetization with no financial obligation.

10. White-Label & Reseller Terms

• MRBR Studio provides white-label editing services for agencies and creators who wish to resell edited content under their own brand.

• All white-label projects remain confidential; MRBR Studio will not publicly claim credit for them.

• Reseller clients are responsible for ensuring their end clients comply with MRBR Studio’s content policies.

11. Confidentiality

• All project files, communications, and creative assets are treated with strict confidentiality.

• MRBR Studio will never sell, share, or distribute client materials or personal data to third parties without written consent.

• NDAs can be signed upon request.

12. Limitation of Liability

• MRBR Studio is not liable for:

  • Losses due to platform bans, demonetization, or algorithm changes.

  • Delays caused by client inaction, incomplete assets, or unclear instructions.

  • Indirect damages (loss of revenue, goodwill, or data).

• Liability, if proven, is limited to the total amount paid by the client for that specific project.

13. Termination of Services

MRBR Studio may terminate or suspend services without liability if:

• Client fails to make payments.

• Client engages in abusive, unethical, or unprofessional behavior.

• The project involves illegal, hateful, or copyrighted material.

• The client violates platform (YouTube/social media) community guidelines.

Upon termination, any pending deliverables or revisions will be canceled, and payments made will be adjusted as per refund policy.

14. Dispute Resolution

• Any disputes will be first addressed through direct communication and mediation.

• If unresolved, matters fall under the jurisdiction of Krishnagiri District, Tamil Nadu, India.

• All agreements shall be governed by Indian contract law.
